Partner Agreement, terms version v1 · effective 2 November 2026 · Siddhi LLC

1. This agreement

This agreement is between Siddhi LLC, the maker of Atto Pharma eBMR and Atto eLogbooks ("we", "us"), and the company whose application we approve ("you", the "partner"). It applies from the day we approve your application; both sides then receive the signed agreement by email. The same terms apply to every partner; we don't negotiate them one by one.

2. Who can be a partner

1. Companies that supply or serve pharmaceutical plants: equipment makers and their service organisations, GMP, validation and quality consultants, computer-system-validation and IT integrators, and distributors.
2. You apply as a company, and name one person who manages the partnership for you.
3. Partnership is not exclusive. We work with many partners, including more than one in the same field or region.

3. Applying and approval

1. Apply with the form on siddhi.today/partners/: your company's name, address, website, what you supply or do for pharma plants, the regions you serve, and your contact person. Use an email address on your company's own domain.
2. The person who applies accepts this agreement on your company's behalf by typing their name and title in the form. That is your company's signature.
3. Confirm your email address with the link we send. We then check your company and reply within 10 working days. We may approve or decline any application, and we don't have to give a reason.
4. When we approve, we countersign. Both sides receive the signed agreement by email, with your partner code, your link for plants, your QR code and the materials you may use.

4. Registering a plant

1. A plant is registered to you when its contact registers through your partner link or QR code, before it signs up. You can also register a plant by email to mekala@siddhi.today, with its company name, site and contact person. Both you and we receive an email for each registration.
2. A registered plant is yours for 90 days. If it starts a paid plan within those 90 days, or later because of your continued work that we confirm, it counts as yours.
3. The first partner to register a plant (by its company email domain) gets it. A plant that was already talking to us, or is already a customer, can't be registered, and you can't register your own company.
4. The plant signs up on our site as usual, takes the 14-day pilot, and buys directly from us (or from our billing partner named on its invoice). You don't resell the licenses or set their price.

5. Commission

1. You earn 15% of the licenses a plant you brought buys in its first 12 months, for Atto Pharma eBMR and Atto eLogbooks alike, before taxes.
2. Commission is earned only on fees we have actually received. It doesn't apply to taxes, implementation or training services we charge separately, or to refunds.
3. If a plant's paid plan ends within the 12 months, commission counts only what it paid.
4. There is no cap on the commission you can earn.

6. When commission is paid

1. Each quarter, we send you a statement of the plants you brought, the fees we received from them in that quarter, and your commission.
2. You send us an invoice for that amount. We pay within 30 days of your invoice.
3. If we later refund a plant, the commission on the refunded amount is deducted from your next payment.

7. Your benefits as a partner

On top of the commission:

• Co-branded logbook templates for your equipment or your services, marked "Designed with" your company, in the template library every Atto eLogbooks customer sees. You supply the content; we review it and publish it. Each plant still approves and adjusts its own copy.
• QR codes for your machines: a sticker that opens that machine's logbook in the plant's own app.
• A listing as an Atto Pharma partner on siddhi.today, if you wish.
• Service and spare-part requests from your customers sent from their logbooks to you, and an assistant that drafts orders for the plant to approve, as these features become available. A request carries only what the plant chooses to send.
• The partner brochure, demo access on our development site, and joint case studies where a plant agrees.

8. What a plant you bring gets

The same as any new customer: the 14-day pilot and our published prices. Any special offer for partner-referred plants is announced on siddhi.today and applies to all partners alike.

9. Honest dealing

1. Tell every plant you introduce that you are an Atto Pharma partner and earn a commission.
2. Don't offer gifts, payments or favours to anyone at a plant to win a purchase, and don't share your commission with them.
3. Don't take part in a plant's decision to buy Atto Pharma as its auditor, validation lead or adviser while you earn a commission on that purchase.
4. Describe Atto Pharma accurately, from our published materials. Don't promise prices, discounts, features, delivery dates or regulatory outcomes on our behalf. Atto Pharma is built for 21 CFR Part 11 and EU GMP Annex 11; don't call it "FDA approved" or "FDA compliant".
5. Recommend what is right for the plant. Plants choose their suppliers freely; we don't steer them to any partner.

10. Plant data and confidentiality

1. A plant's records belong to the plant. As a partner you see only what a plant chooses to send you, such as a service request. You never get access to its logbooks, batch records, trends or people.
2. Keep confidential anything you learn about us or about any plant through the partnership, during it and after it ends. Don't share one plant's information with another.
3. If a plant sends you data, use it only to answer that request, and protect it as you protect your own customers' data.

11. Names and logos

1. You may say you are an "Atto Pharma partner" and use the partner badge and materials we give you, as they are.
2. Don't use our names or logos in your own product names, domain names, social media accounts or ads without our written approval, and don't say you speak for us.
3. You let us use your company's name and logo on co-branded templates and in our partner listing, as you approve them.

12. Taxes and invoices

1. Your invoices follow the law where you are. In India, a GST invoice with your GSTIN and PAN; in the United States, a W-9 form (or W-8BEN-E outside the US).
2. We deduct tax at source where the law requires it, and give you a statement of what we deducted.
3. You are responsible for your own taxes on the commission.

13. Partners and Phusion

A plant counts once. If a partner and a Phusion member both introduce the same plant, the first registration or referral we receive counts, and only that one earns.

14. Term and ending

1. This agreement runs for one year from your approval and renews each year on the terms then published.
2. Either side may end it with 30 days' written notice. We may end it at once if you break sections 9, 10 or 11.
3. When it ends, commission continues on plants you registered and that started a paid plan before the end, for the rest of their first 12 months, unless we ended it because you broke section 9, 10 or 11.
4. We may change these terms with 30 days' notice on siddhi.today and by email. Plants already registered keep the terms they were registered under.

15. Our relationship

You are an independent business, not our employee, agent, reseller or joint venture. You can't sign or promise anything for us.

16. Responsibility

We pay what this agreement says is due. Neither side is responsible to the other for indirect losses or lost profits. Our total liability to you is limited to the commission owed and not yet paid.

17. Law

For partners in India, this agreement is governed by the laws of India, and the courts of Hyderabad, Telangana have jurisdiction. For partners in the United States and elsewhere, it is governed by the laws of the State of California, and the courts of Santa Clara County, California have jurisdiction.
